Great post on a little understood subject. It is always best to understand these this prior to setting out to negotiate on the wrong thing on the term sheet.

Law firm Orrick’s Menlo Park office do an excellent series of seminars for entrepreneurs on topics like this. They did one back in April were they did a mock term sheet negotiation between an entrepreneur (Steve Larson of Krugle) and a VC (Andreas Stavropoulos of DFJ). It was very insightful and very well attended.

Perhaps a London law firm might want to do something similar in London? It would be a great way to reach out to start-ups.
